Work experience
Petr joined cee tax management from Allen & Overy, where he was head of the tax practice of the Prague office from 2003 to 2009. He was responsible for consulting services in the areas of direct and indirect taxes, international and cross-border taxation, tax planning and investment incentives in connection with corporate, real estate, capital markets and banking transactions, including mergers and acquisitions of public and private companies and debt financing.
Petr recently has advised:
- Eni S.p.A. in respect of tax due diligence and tax structuring of their acquisition of ESSO's petrol stations in the Czech Republic and Slovakia;
- Spentex, India's largest yarn manufacturer, on the acquisition of Schoeller Litvinov k.s.;
- Belden in respect of tax structuring in connection with the sale of their copper telecommunications cable operation, Kabelovna Děčín Podmokly (KDP) in Děčín and purchase of other business operations in the Czech Republic;
- Barclays Capital Services on tax matters in connection with setting up their regional IT site;
- Hitachi on tax implications resulting from their direct inbound investment in the Czech Republic including successful grant of state investment incentives;
- Czech government in respect of preparation of Hyundai Motor Company's investment in the Czech Republic, in particular structuring and optimizing the investment incentives portfolio offered to Hyundai;
- Advising Koenig & Bauer in connection with their acquisition of 100% shareholding in Grafitec, s.r.o.;
- Pamplona Capital Partners LLP, a UK private equity house, on a unique leveraged buy-out of Pegas, a.s.;
- A joint venture group on acquisition of CCS Ceska spolecnost pro platebni karty, a.s.;
- Advising MTG AB on its EUR 96 million purchase of 50% of GES Media Holding, a.s., the 100% owner of Czech TV station Prima;
- Advising Deutsche Telekom AG and Imperial Tobacco Group PLC on the implementation of an employees' incentive scheme;
- Telenor in connection with the sale of 100% shareholding in two subsidiaries in the Czech Republic and two subsidiaries in Slovakia;
- Skanska CZ a.s. in connection with the construction of the new headquarters building for ČSOB bank;
- Advising J.P. Morgan Europe Limited in connection with arranging EUR250,000,000 facility for Oskar Mobil a.s. and EUR325,000,000 high yield bond issue by Oskar Mobil a.s.;
- Advising Goldman Sachs in connection with provision of investment services in the Czech Republic;
- Advising Crédit Lyonnais, as sole mandated lead arranger on the CZK 6,930,000,000 refinancing of the Energy Center Kladno Generating (ECK Generating, s.r.o.) electric power plant in the Czech Republic, the proceeds of which are to be used to refinance the existing project loan;
- Advising SAZKA, a.s. in connection with the financing (including the issuance of bonds) of the construction of a new ice hockey stadium;
- ICN Czech Republic a.s. in connection with sale of part of its pharmaceutical business.
Between 2001 and 2003 Petr was senior tax advisor at the law firm Linklaters where he worked, inter alia, for Ernst & Young on its successful acquisition of Arthur Andersen, Denso Corporation on its greenfield investment including successful grant of investment incentives and a syndicate of Gaz de France, Ruhrgas and Snam in the privatisation of Transgas a.s. and eight regional gas distribution companies.
From 2000 to 2001 Petr assisted, as external advisor, to CzechInvest (Czech State Agency for Foreign Investment) in respect of drafting the legislation for the investment incentives scheme in the Czech Republic.
From 1997 to 2001 Petr worked at PricewaterhouseCoopers (previously Coopers & Lybrand) where he gained a significant experience in taxation of corporations as well as individuals.
